Contest Name: "I Spy Mr. Nice Guy" 2019 $1,000 Holiday Cash Contest
Contest Dates: July 1, 2019 - November 16, 2019

Conicelli Autoplex, 1200 Ridge Pike, Conshohocken, PA 19428 and Conicelli Toyota of Springfield, 860 Baltimore Pike, Springfield, PA 19064. Both will be referred to as the "Company."

Conicelli Autoplex and Conicelli Toyota of Springfield, its subsidiaries and affiliated companies, will conduct the contest substantially as described in these rules, and by participating, each participant agrees as follows:

Description of Contest/Participation:

How to Enter:

No purchase is necessary to enter the Contest and a purchase will not improve your chances of winning.

Participants must come into a Conicelli Dealership or Conicelli Service Center (Conicelli Toyota of Conshohocken, Conicelli Honda, Conicelli Nissan, Conicelli Hyundai, or Conicelli Toyota of Springfield) and pick up an "I Spy Mr. Nice Guy" magnet or a "NICE" sticker, or fill out a form on our website at www.conicelli.com/contest and we will mail the magnet (PA, NJ, and DE residents only).

How to Play:

The participants will put the "I Spy Mr. Nice Guy" magnet or "NICE" sticker on the back of their vehicle. If they are spied by a Conicelli Management team member, they will be contacted either in person, by phone, or by mail. If you are spied you will win a $10 Conicelli Service Voucher and automatically be entered to win the "I Spy Mr. Nice Guy" 2019 Holiday Cash Contest.

Grand Prize:

The Grand Prize winner will receive a $1,000 American Express Gift Card

Other Prizes:

2nd Place prize is a $350 American Express Gift Card and 3rd Place prize is a $150 American Express Gift Card.

Eligibility and Limitations:

Participants can win the $10 Conicelli Service Voucher by placing an "I Spy Mr. Nice Guy" magnet or "NICE" sticker on their vehicle and then being spied by Conicelli management. Participants and winners must be U.S. residents and at least 21 years old as determined by the Company and reside in the states of Pennsylvania, New Jersey or Delaware. The Company reserves the right to refuse to award a prize to or on behalf of a minor or other non-eligible entrant. Only one prize per household for the Contest.

Employees of the Company, the Company's advertising agency and its employees and members of the immediate family of any such persons are not eligible to participate and win. The term "immediate family" includes spouses, siblings, parents, children, grandparents and grandchildren, whether as "in-laws", or by current or past marriage(s), remarriage(s), adoption, co-habitation or other family extension, and any other persons residing at the same household whether or not related.

The Company will disqualify any entry from any Participant who does not meet these eligibility requirements and the Company will delete an entry from any party under the age of 13, as required by the Children's Online Privacy Protection Act.

Publicity:

By participating, all participants and winners grant the Company exclusive permission to use their names, characters, photographs, voices and likeness with promotion of this and other contests and waive any claims to royalty, right or remuneration for such use.

Release:

By participating in the Contest, participants and winners waive any and all claims of liability against the Company, its affiliates, its employees and agents and their respective employees, for any personal loss which may occur from the conduct of, or participation in, the Contest, or from the use of any prize. In order to receive a prize, participants must sign an official waiver form provided by the Company.

Taxes:

Any valuation of the prize(s) stated above is based on available information from the Company, and the value of any prize awarded to a winner may be reported for tax purposes as required by law. Winner(s) must provide the Company with valid identification and a valid taxpayer identification number or Social Security number before any prize will be awarded. Prize is not transferable, redeemable for cash or exchangeable for any other prize. Any person winning over $600 in prizes from the Company will receive an IRS Form 1099 at the end of the calendar year and a copy of such form will be filed with the IRS.

Conduct and Decisions:

By participating in the Contest, participants agree to be bound by the decisions of the Company personnel. Persons who violate any rule, gain unfair advantage in participating in the Contest, or obtain winner status using fraudulent or false means will be disqualified. Unsportsmanlike, disruptive, annoying, harassing or threatening behavior is prohibited. The Company will interpret these rules and resolve any disputes, conflicting claims or ambiguities concerning the rules or the Contest and the Company's decisions concerning such disputes shall be final. If the conduct or outcome of the Contest is affected by human error, printing errors, typographical errors, internet, electronic or any mechanical malfunctions or failures of any kind, intentional interference, by any participant or any third party, or any event beyond the control of the Company, the Company reserves the right to terminate the contest, or make such other decisions regarding the outcome as the Company deems appropriate. All decisions pertaining to the Contest will be made by the Company and such decisions are final. The Company may waive any of these rules at its sole discretion.

Any attempt by a participant or any other individual to deliberately circumvent, disrupt or damage ordinary and normal operation of this contest, website, or undermine the legitimate operation of this contest is a violation of criminal and civil laws and should such an attempt be made, company reserves the right to disqualify such participant and to seek damages from any such participant to the fullest extent permitted by law.

Miscellaneous:

Winner(s) must submit proof of eligibility and sign the Company's release form to claim the prize. No purchase necessary to participate or win. A purchase does not increase your chance of winning. Void where prohibited. Odds of winning depends upon the number of entries received. The Company may substitute prizes, amend rules or discontinue the contest at any time as announced on our website at www.conicelli.com/contest. The Company disclaims any responsibility to notify participants of any aspect related to the conduct of the Contest. Written copies of these rules are available during normal business hours at the business offices of the Company and by mail upon written request with a stamped, self addressed return envelope.

Compliance with Law:

The conduct of the Contest is governed by the applicable laws of the United States of America and applicable state law, in that order of precedence, which take precedence over any rule to the contrary herein. Company shall follow the applicable laws for conducting contests, including notice to the state attorney general or consumer affairs office, posting of a prize bond, furnishing list of winners, providing specific written information about the Contest, etc., as required by local and state law. Each Participant submits to the personal jurisdiction of the Court of Common Pleas of Montgomery County, Pennsylvania and the Federal District Court of the Eastern District of Pennsylvania.

Additional Contest Rules:

The owner of the vehicle that the "I Spy Mr. Nice Guy" magnet or "NICE" sticker is spotted on may participate and is the person eligible to win the Grand Prize, 2nd place prize or 3rd place prize. If there are co-owners of the vehicle the co-owner who signs the release form is the only one eligible to participate. No substitution will be allowed. Must be present to win. Registration will begin at 6:00 p.m. on Tuesday, December 10, 2019 at Conicelli Toyota Service, 1580 Alan Wood Road, Conshohocken, PA 19428. At 7:00 p.m., contestants will choose a holiday stocking hanging on a fireplace prop in the order determined by a random drawing from a raffle drum. The contestant that chooses the stocking with the winning certificate will be the Grand Prize winner. The remaining contestants' names will be randomly drawn from a raffle drum and one person will win a $350 gift card (2nd Place Winner) and another person will win a $150 gift card (3rd Place Winner). Each winner must submit proof of eligibility and sign the Company's release form to claim the prize. Winner must be present to accept prizes. If winner is not present, another contestant will be randomly chosen from the raffle drum. Any winner who does not comply with the terms of this paragraph will forfeit his or her prize.
